Public Joint Stock Company Pipe Metallurgical Company (LSE: TMKS; MOEX: TRMK), one of the world's largest producers of pipes for the oil and gas industry ( TMK or Company "), In continuation of messages dated April 8, 2020 and April 23, 2020 informs that today the Company received a voluntary offer of the Volzhsky Pipe Plant Joint Stock Company (" VTZ ") to acquire 358 758 064 ordinary registered uncertified shares of TMK. The number of shares in respect of which a voluntary offer was made was adjusted in accordance with the order of the Bank of Russia dated April 23, 2020
The purchase price of ordinary shares is RUB 61 per ordinary share and must be paid for in cash. The term for accepting a voluntary offer is 70 days from the date of receipt of a voluntary offer by the Company (that is, from May 19, 2020 to July 27, 2020 inclusive).
