the British company Regal Petroleum, a member of the group Smart Energy Vadim Novinsky, has signed a Memorandum of understanding regarding acquisition of PRJSC "Scientific-production concern "UKRAVTOINVEST" (hereinafter - UNI), which has special permits for subsoil use Belorusskogo block and Albasco-Trpovski square in Odessa region.
As announced in a press-service of "Smart Holding", the Memorandum signed between Regal Petroleum company and Mrs. Lydia Blackie and Bolaso Investments Limited, each of which owns a 50% stake in UNI. The ultimate beneficial owner of the company Bolaso Investments Limited is Mr. Leonid Kozachenko.
the Memorandum is not binding (except for certain provisions), but sets out proposals on the company's acquisition of Regal Petroleum 100% of the issued share capital of UNI for a total amount of 40 million U.S. dollars, subject to satisfaction of certain conditions.
UNI is a registered Ukrainian company. According to the audited financial statements for the year 2018, the company's net assets as of 31 December 2018 was $ 178,9 million, and loss after tax – 0,7 million hryvnias. Also as at 30 Jun 2019 net assets amounted to 179 million, and the company achieved a net profit after tax of 0.2 million.
Special permission to use subsoil resources owned by the UNI, was issued in August 2004 with a validity of 20 years. The licenses are prospective for oil and natural gas. They were the subject of exploration since the 1980-ies, since drilled 24 wells.
in the Summer of 2019 Pelidona Services Limited increased its share in the oil and gas company Regal Petroleum plc with 54% to 82,65%. The sellers were from the group EastOne of Ukrainian businessman Victor Pinchuk.
Regal Petroleum plc is a British public company with shares quoted on the London stock exchange AIM. In Ukraine operates through the representative office of "Regal petroleum Corporation limited" in Poltava region and LLC "Prom-Energo Product" in the Kharkiv region, who own special licenses for the production of hydrocarbons. All companies included in the group Smart Energy.
In turn, the Smart Energy group is part of the "Smart-holding" implements projects in the field of exploration and industrial development of deposits of hydrocarbons.
Oil and gas business Smart Energy, in addition to the assets of Regal Petroleum, represented gas production company "Ukrgazvydobutok" (Kharkiv region).
